Key Terms & Conditions

Appointment of Distributor:

The Company appoints the Distributor as an authorized distributor for the sale of its agricultural inputs within the specified territory.

Territory:

The Distributor is granted exclusive rights to sell the Company's products in the specified geographic area.

Products:

The Distributor will exclusively sell the Company’s range of agricultural inputs, which include but are not limited to bio-fertilizers, bio-pesticides, seeds, and other related products.

Duration of Agreement/Renewal:

The duration of the agreement and its renewal process will be determined according to the terms and conditions specified within the agreement. This typically means that the exact length of the contract and the procedures for renewing it are outlined in the document, ensuring both parties are aware of their obligations and the timeline involved.

Pricing and Payment Terms:

The Distributor will purchase products at the prices listed in the updated price list provided by the Company. Payments must be made as per agreement between Company & distributor. Late payments will incur a penalty as prescribed in the invoice.

Order and Supply:

The Distributor will place orders with the Company in writing, and the Company will make all reasonable efforts to fulfill these orders per agreement between Company & Distributor. The Company reserves the right to adjust supply quantities based on stock availability and demand.

Minimum Purchase Requirements:

The Distributor must purchase a minimum quantity of products each month/quarter/year to maintain their distributorship status per agreement between Company & distributor.

Marketing and Promotion:

The Distributor will actively promote and market the Company's products within the Territory. The Company will provide marketing materials and support to the Distributor.

Storage and Handling:

The Distributor must store and handle all products in accordance with the Company’s guidelines to maintain product quality.

Compliance with Laws:

The Distributor will comply with all applicable local, state, and federal laws and regulations concerning the storage, distribution, and sale of agricultural inputs.

Reporting and Documentation:

The Distributor will provide the Company with regular sales reports and inventory status reports as specified by the Company.

Intellectual Property:

The Distributor will not use the Company’s trademarks, logos, or other intellectual property without prior written consent from the Company.

Confidentiality:

Both parties agree to keep confidential any proprietary information received from the other party during the term of this agreement.

Termination of Agreement:

Either party may terminate this agreement as per agreement terms and conditions. The Company may terminate this agreement immediately for breach of terms, insolvency, or illegal activities by the Distributor.

Indemnification:

The Distributor agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from the Distributor’s actions or negligence.

Dispute Resolution:

Any disputes arising out of or in connection with this agreement will be resolved through Company Dispute Resolution Method.

Governing Law:

This agreement will be governed by and construed in accordance with the laws of Haridwar Jurisdiction.

Amendments:

Any amendments to this agreement must be made in writing and signed by both parties.
